Terms of Service

Welcome to TocoAI (hereinafter referred to as the “Service”), provided by TocoAI Pte. Ltd. (hereinafter referred to as “we”, “us”, “our”, “the Company” or “TocoAI”). The Service includes features such as domain-specific model generation powered by AI Architect, automatic backend code generation, and related functionalities.

By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must immediately cease using the Service. Please read these Terms carefully. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Access and Use of the Service

We grant you a limited, non-exclusive, revocable right to access and use the Service, subject to your compliance with these Terms.

1.1 Input and Output

You may provide the Service with requirements, prompts, existing code, or other materials (“Input”).

The Service generates domain models, code, diagrams, and other materials based on your Input (“Output”). Input and Output are collectively referred to as “Content”.

You retain all rights you hold in and to your Input. We hereby assign to you all rights we may have (if any) in and to the Output.

Please note that Output may be similar or identical to Output generated for other users and is not exclusive to you. You have no right to claim ownership or exclusive rights over Output generated for other users.

1.2 Model Training Policy

We do not use your Input, Output, or generated code to train or improve any AI models.

1.3 Responsibility for Output

Output is generated automatically by AI and may contain errors, incompleteness, bugs, security vulnerabilities, or may be unsuitable for your use case.

You are solely responsible for reviewing, testing, validating, and verifying all Output before using it in any production environment. You assume all risks associated with the use of Output.

We make no warranties whatsoever regarding the accuracy, completeness, safety, or fitness for purpose of any Output. Output is provided for informational and reference purposes only and does not constitute professional advice (including but not limited to legal, medical, or financial advice).

1.4 Use Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, extract, or attempt to discover the underlying models, DSL, or generation engines of the Service;
  • Use Output to train any AI model that competes with or is intended to replicate the Service;
  • Use the Service in high-risk environments (including but not limited to nuclear facilities, weapons systems, or activities related to illegal conduct);
  • Upload data subject to specific regulatory protections (e.g., protected health information under HIPAA, payment card data under PCI-DSS, financial consumer information under GLBA);
  • Violate any applicable export control or sanctions laws (including those of the United States and Singapore);
  • Engage in any activity that infringes third-party intellectual property rights, is abusive, or is unlawful.

Any violation may result in immediate termination of your account without refund.

2. Accounts and Payment

  1. You must register for an account, provide accurate information, and keep your account credentials secure.
  2. Certain features require a paid subscription. If you purchase any paid Service, you agree:
    • All fees are in United States Dollars and are non-refundable unless otherwise expressly stated;
    • Subscriptions automatically renew unless canceled at least 24 hours before the renewal date via your account settings;
    • We may modify pricing or introduce new fees at any time; material changes will be notified to you;
    • Payments are processed securely through third-party payment providers, and you agree to their terms.

3. Intellectual Property

  1. All content on or in the Service, including text, graphics, logos, and software, is owned by TocoAI or its licensors and protected by copyright and other intellectual property laws.
  2. You retain all rights in your Input and are granted all rights in the Output (we hereby assign any rights we may have in the Output to you).
  3. If you provide feedback or suggestions, we receive a royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate such feedback into the Service without compensation to you.

4. Privacy and Data

Please refer to our Privacy Policy for information on how we collect, use, and protect personal data.

Data is primarily stored in data centers operated by Amazon Web Services (AWS), Google Cloud, and Microsoft Azure. While we implement reasonable security measures, we cannot guarantee absolute security.

5. Disclaimer of Warranties

The Service and all Output are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Service may experience interruptions or contain errors. We disclaim any liability for any loss or damage arising from Output.

6. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Our total aggregate liability shall not exceed the greater of: (a) the total amount you paid us in the twelve (12) months preceding the claim, or (b) USD 500.

This limitation does not apply in cases of our willful misconduct or gross negligence.

7. Termination

You may stop using the Service at any time.

We may suspend or terminate your access at any time, especially in case of violation of these Terms (no refund will be provided in such cases).

Sections 1.4, 3, 6, and 8–10 survive termination.

8. Dispute Resolution and Governing Law

  1. Governing Law: These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict of laws principles.
  2. Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or Content shall be finally settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules in effect at the time. The seat of arbitration shall be Singapore. The language shall be English. The tribunal shall consist of one arbitrator. For enterprise customers, the parties may mutually agree in writing to use an alternative neutral arbitral institution. You and we waive the right to a jury trial and to participate in any class action or representative proceeding. You may opt out of this arbitration agreement by sending an email to legal@tocoai.dev within 30 days after registering.
  3. Small Claims Exception: Claims that qualify may be brought in small claims court.

9. Miscellaneous

  1. We may update these Terms from time to time. Material changes will be notified via email or in-service notice. Your continued use constitutes acceptance.
  2. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

By registering, using, or making payment for the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
